These Terms of Service ("Terms") govern your access to and use of Wishari, a gift registry platform operated by DULA Studio Limited ("Wishari", "we", "us", or "our"), a company registered in Nigeria. By creating an account, listing a registry, contributing to a registry, or otherwise using the platform, you agree to these Terms.

These Terms include important provisions about fees, payouts, limitation of liability, and the governing law. Please read them carefully.

1. Eligibility

You must be at least 18 years old and have legal capacity to enter into a contract under Nigerian law (or the equivalent in your country of residence) to use Wishari. By using the platform, you confirm that you meet these requirements.

Wishari is not intended for use by minors. If we learn that we have collected personal information from a child under 18, we will delete it.

2. Your account

  • You must provide accurate, current, and complete information when you create an account.
  • You are responsible for the activity on your account and for keeping your login credentials secure.
  • You may not share your account with anyone else, sell it, or transfer it.
  • You must notify us at hello@wishari.co as soon as you become aware of any unauthorised access.
  • We may suspend or terminate your account if you breach these Terms or for legitimate operational or legal reasons.

3. How Wishari works

Wishari lets you ("Creators") build a public registry of gifts you would like to receive for an occasion. Others ("Contributors") can visit your registry and pay toward an item, in full or in part. Payments are processed by one of our regulated third-party payment service providers (each a "Payment Service Provider" or "PSP") and split such that the full amount you list reaches the Creator's linked bank account.

The PSPs we currently use are named in the sub-processor list in our Privacy Policy. We may add or change PSPs from time to time — for example, to support contributions in additional currencies. Where a change affects how your payment is processed in a material way, we will tell you in advance.

Wishari is a platform and a payment-processing intermediary. We are not a bank, escrow service, charity, or fundraising platform. We do not hold contributor funds; the platform fee is invoiced as part of each transaction and the remainder settles directly to the Creator's linked bank account via our PSP's split-payment facility.

4. Fees and pricing

It is free to create and share a Wishari registry. We charge a 5% platform fee on each contribution. This fee is added to the price the Contributor sees and pays — it is not deducted from what the Creator receives.

Example: a Creator lists a gift item for ₦10,000. A Contributor pays ₦10,500 at checkout. ₦10,000 settles to the Creator's bank account. The remaining ₦500 covers Wishari's service and our PSP's payment-processing fees.

We reserve the right to change the platform fee in the future. We will give existing Creators at least 30 days' notice by email before any fee change takes effect, and the change will apply only to contributions made after the new fee starts.

5. Creator obligations

If you create a registry, you agree that:

  • The items on your registry are real and genuinely intended as gifts. You will not use the platform to solicit donations for a cause other than the occasion described.
  • Item prices are truthful. You will not inflate prices to extract excess contributions or list items you do not intend to receive.
  • You will not direct Contributors to send money outside the platform. All contributions toward listed items must flow through Wishari.
  • You have linked a Nigerian bank account in your own name (or in the joint name of you and a co-host who has consented). Contributions cannot reach accounts that do not match the Creator's registered identity.
  • You will publish a registry only for the lawful personal milestones Wishari supports — birthdays, weddings, baby registries, baby showers, housewarmings, honeymoon funds, and the general "Other" category. The gift recipient is always you, the Creator; Wishari is not a platform for third-party fundraising, emergency or disaster appeals, political activity, or any cause where the funds are intended for someone other than you.   • You are responsible for any tax obligations that arise from receiving contributions. Wishari does not provide tax advice.

6. Contributor obligations

If you contribute to a registry, you agree that:

  • You are using your own payment method (or one you have explicit permission to use) and are not engaged in fraud or money laundering.
  • Contributions are gifts. They are final and non-refundable between you and Wishari. If you later regret a contribution, the first person to ask is the Creator who received it. Wishari does not act as an arbiter of those conversations.
  • Wishari only intervenes in the narrow platform-level cases described in our Refund & Contribution Policy — confirmed fraud, duplicate charges from a platform fault, payouts permanently stuck with our PSP, and incoming chargebacks raised through your bank or card issuer.
  • Wishari is not responsible for what the Creator does with the contribution after settlement.
  • Any private note you leave is visible to the Creator and may be visible to other Contributors depending on the Creator's privacy settings.

7. Acceptable use

You must follow our Acceptable Use Policy. In short: no fraud, no illegal activity, no hate speech, no adult content, no political campaigning, and no use of the platform for anything other than a legitimate gift-giving occasion. Violations may result in immediate suspension and, where appropriate, reporting to law-enforcement authorities.

8. Payouts and our PSP

Payments are processed by our PSP (named in our Privacy Policy's sub-processor list). Wishari uses our PSP's split-payment facility to direct 95% of each contributor-facing price to the Creator's bank account at the moment of settlement, with the platform absorbing the PSP's processing fee out of our 5%.

Payout timing depends on our PSP's settlement schedule, which can vary by bank and time of day. If a payout fails, we will attempt to retry within 24 hours and then escalate to manual review. We will notify you by email at each stage.

Our PSP's own terms apply to its processing of the transaction. By using Wishari, you also agree to the applicable terms of the PSP that processes your transaction.

9. Closing and archiving registries

You may close a registry at any time to stop accepting new contributions. Closed registries remain visible at their canonical URL for historical reference. You may archive a registry to remove it from search and your profile while keeping a copy for your records. You may also duplicate an archived registry to use as the starting point for a new occasion.

10. Username and handle

When you choose a username, it becomes part of your public registry URL. We block platform routes, profanity, and impersonation of staff or well-known accounts. We reserve the right to reclaim usernames that violate these rules or that infringe a third party's trademark.

You may change your username, subject to a 30-day cooldown between changes. Your previous handle continues to redirect to your new one for 90 days; after that period, the handle is available for reuse.

11. Content and intellectual property

You retain ownership of the content you upload (cover photos, descriptions, love notes). By uploading, you grant Wishari a non-exclusive, worldwide, royalty-free licence to host, display, and otherwise use that content for the purpose of operating and improving the platform.

Wishari and its name, logos, and software are the property of DULA Studio Limited. You may not copy, modify, or create derivative works of the platform itself without our written permission.

12. Privacy

Our Privacy Policy explains what personal data we collect, why, and what your rights are. By using Wishari, you agree to the practices described there.

13. Termination

You may delete your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms, if required by law, or if we reasonably believe your activity poses a security or financial risk to the platform or its users.

Termination does not affect contributions already settled or rights that have accrued before the termination.

14. Disclaimers and limitation of liability

Wishari is provided "as is" and "as available". To the maximum extent permitted by Nigerian law, we disclaim all warranties — express or implied — including fitness for a particular purpose, non-infringement, and uninterrupted availability.

Wishari is not an arbiter of disputes between Contributors and Creators. Contributions are gifts, and any disagreement about a gift is a matter between the people involved. The narrow circumstances in which Wishari will intervene — confirmed fraud, duplicate charges from a platform fault, payouts permanently stuck, and incoming chargebacks — are set out in our Refund & Contribution Policy.

Except where prohibited by law, Wishari's aggregate liability to you for any claim arising out of or related to your use of the platform is limited to the greater of (a) the total platform fees you have paid to Wishari in the twelve months immediately preceding the event giving rise to the claim, or (b) ₦20,000. We are not liable for indirect, incidental, or consequential damages.

15. Indemnity

You agree to indemnify and hold Wishari, DULA Studio Limited, and our affiliates, officers, and employees harmless from any claim arising out of your breach of these Terms, your misuse of the platform, or your violation of any third party's rights.

16. Dispute resolution and governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute will first be addressed by good-faith negotiation; if it cannot be resolved within 30 days, it will be referred to the courts of Lagos State.

17. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify existing users by email at least 14 days before it takes effect. The current version is always available at this URL with an effective date at the top of the page.
